UGC Creator Agreements

CONTRACT FOR COOPERATION WITH UGC CREATOR

This Contract for Collaboration ("Contract") is concluded between Holysmile ("Client") and [UGC-Creator Name] ("UGC-Creator") (collectively referred to as "Parties") on this [day] of [month], [year].

  1. Purpose of the collaboration: a. The client, Holysmile, is a company that sells teeth whitening strips and pens and wants to collaborate with UGC-Creator to increase the awareness and reach of its products. b. UGC-Creator has expertise in creating User Generated Content (UGC) and is interested in working with Holysmile to promote teeth whitening strips and pens.

  2. Duration of the collaboration: a. This collaboration starts on the date of signing this Contract and ends after a period of 2 weeks unless otherwise agreed by the Parties. b. Both Parties have the right to terminate this Contract prematurely, provided they notify each other in writing with 1 week's notice prior to the intended termination date.

  3. Responsibilities of the UGC-Creator: a. UGC-Creator will create and share authentic and quality content on his/her social media accounts and other relevant platforms, related to Holysmile teeth whitening strips and pens. b. UGC-Creator will adhere to Holysmile's general style guide and guidelines when creating and sharing the content. c. UGC-Creator will review Holysmile products honestly and honestly, based on his/her experience with the products.

  4. Holysmile's responsibilities: a. Holysmile will provide UGC-Creator with the necessary teeth whitening strips and pens to use for content creation. b. Holysmile will provide UGC-Creator with timely and adequate support for any questions, requests or problems regarding the products. c. Holysmile will promote UGC-Creator through its own marketing channels and networks, to increase the visibility and awareness of UGC-Creator.

  5. Remuneration: a. As compensation for the collaboration, UGC-Creator receives a fixed amount of [amount] per piece of content that meets Holysmile's quality standards. b. Any additional compensation or bonuses may be awarded based on agreed performance targets and/or the performance of the content in terms of engagement, reach and conversions. c. All payments will be made within [number of days/weeks] after approval of the content by Holysmile.

  6. Editing of videos for marketing purposes: a. Holysmile has the right to edit the videos created by UGC-Creator for marketing purposes, such as adding logos, subtitles, background music or other graphic elements. b. UGC-Creator agrees that Holysmile may use these edited videos on his/her own marketing channels, including but not limited to the website, social media, advertisements and other promotional materials.

  7. Ownership of the Videos: a. All rights, titles and interests in the videos created by UGC-Creator under this collaboration are transferred to Holysmile. b. UGC-Creator acknowledges that the Videos are the exclusive property of Holysmile and agrees not to claim any right, title or interest over the Videos or any other intellectual property of Holysmile.

  8. Confidentiality: a. Both Parties agree to keep confidential all confidential information received during the collaboration and not to disclose it to third parties without the prior written consent of the other Party. b. This confidentiality obligation shall survive termination of this Contract.

  9. Governing law and dispute resolution: a. This Contract shall be governed by and construed in accordance with the laws of the Netherlands. b. In the event of a dispute arising out of or in connection with this Contract, the Parties will attempt to resolve the dispute by mutual agreement. If this is not successful, the dispute will be submitted to the competent court of The Hague.
